Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Chaosity Network Pty Ltd (ABN: 97 657 477 293, ACN: 657 477 293), an Australian company ("Chaosity", "we", "us", or "our") regarding your use of our Location Service API.
Australian Business: All services are provided by our Australian entity. Pricing is in Australian Dollars (AUD) and billing is processed through Stripe.
2. Description of Service
Chaosity operates multiple websites and services:
- Marketing Website: Public website providing information about our services
- Developer Portal: Account management and API key management interface
- Location API Service: Location-based API services including address validation, geocoding, autocomplete, and mapping services
The API Service is provided on a pay-as-you-go basis with tiered pricing. These Terms apply to all our websites and services.
3. Account Registration
To use our Service, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
4. Billing and Payment
4.1 Pricing Model
Australian Company: Chaosity Network Pty Ltd is an Australian company. All pricing is in Australian Dollars (AUD).
Pay-As-You-Go: Our service uses a pay-as-you-go model with no upfront costs. You only pay for actual API requests made during each monthly billing cycle.
4.2 Subscription Tiers
We offer three subscription tiers with graduated pricing:
- Location Core: Essential address services for single applications
- Location Pro: Advanced location services for multiple applications
- Location Enterprise: Full platform with maps and premium features
4.3 Graduated Pricing Structure
Each tier uses graduated pricing where costs decrease as usage increases within the monthly billing cycle:
- First 5,000 requests: Higher rate per request
- Next 20,000 requests (5,001-25,000): Reduced rate
- Next 75,000 requests (25,001-100,000): Further reduced rate
- All requests above 100,000: Lowest rate
Current pricing tiers are published on our website and may be updated with notice.
4.4 Billing Cycle and Invoicing
- Monthly Billing: Usage is calculated monthly and billed at the end of each billing cycle
- Automatic Invoicing: Invoices are automatically generated and sent via email at the end of each billing period
- Automatic Payment: Payment is automatically charged to your registered payment method within 24 hours of invoice generation
- International customers may incur currency conversion fees from their bank
- All fees are non-refundable
- Taxes (VAT, GST, etc.) may apply based on your location and will be added where required
4.5 Payment Method and Security
- You must provide valid payment information directly to Stripe
- You are responsible for keeping your payment method current and valid
- No Financial Data Storage: Chaosity does not store any credit card information, payment details, or financial data. All payment processing and storage is handled exclusively by Stripe
4.6 Payment Failures and Collections
If automatic payment fails due to insufficient funds, expired cards, or other payment issues:
- Immediate Action: Stripe will automatically retry payment according to their retry schedule
- Email Notifications: You will receive automated reminder emails about failed payments
- Grace Period: Service continues for up to 7 days to allow payment method updates
- Service Suspension: If payment remains unsuccessful after 7 days, API access will be suspended
- Account Reactivation: Service resumes immediately upon successful payment
- Account Closure: Accounts with unpaid invoices for more than 30 days may be permanently closed
- Outstanding Balances: You remain liable for all unpaid charges even after service suspension or account closure
5. Cancellation
You may cancel your account at any time through your account dashboard. You can choose:
- Immediate cancellation: Service stops immediately
- End of billing cycle: Service continues until the end of your current billing period
No refunds will be provided for any unused services or prepaid fees.
6. Acceptable Use Policy
6.1 Prohibited Activities
You agree not to:
- Use the Service for illegal activities or violate any applicable laws
- Attempt to reverse engineer, decompile, or compromise our systems
- Use the Service to spam, harass, or send unsolicited communications
- Violate intellectual property rights of third parties
- Transmit malware, viruses, or harmful code through our Service
- Attempt to gain unauthorized access to our systems or other users' accounts
6.2 Common Service Misuses
The following activities constitute misuse and may result in immediate action:
- Rate Limit Violations: Exceeding your subscription tier's rate limits or attempting to circumvent usage restrictions
- API Key Sharing: Sharing your API keys with unauthorized parties or using keys across multiple organizations
- Subscription Tier Violations: Using features or endpoints not included in your subscription tier
- Domain Restrictions: Using the service from unauthorized domains not registered in your account
- Automated Abuse: Running excessive automated requests, scraping, or bot traffic that impacts service performance
- Resource Hoarding: Making unnecessary requests to consume resources or inflate usage
- Load Testing: Conducting load tests or stress tests without prior written approval
- Caching Violations: Bypassing or disabling our caching mechanisms to increase costs
6.3 Enforcement Actions
Upon detection of misuse, we may take the following actions without prior notice:
- Warning: Email notification for minor or first-time violations
- Rate Limiting: Temporary reduction of API rate limits
- Service Suspension: Temporary suspension of API access (1-30 days)
- Account Termination: Permanent closure of account for severe or repeated violations
- Legal Action: Pursuit of legal remedies for violations causing significant harm
- Billing Adjustments: Additional charges for excessive usage or resource consumption
Appeal Process: You may appeal enforcement actions by contacting support@chaosity.io within 7 days of the action. We will review appeals in good faith but reserve the right to maintain our decision.
7. Resale and Redistribution Restrictions
You are strictly prohibited from:
- Reselling, sublicensing, or redistributing our API Service to third parties
- Acting as a middleman or intermediary for our Service
- Offering our Service as part of a competing location service
- Sharing your API keys with unauthorized parties
- Creating derivative services that compete with our offerings
Permitted Use: You may only use our Service to power features within your own applications for your direct business purposes. Contact us for partnership or integration opportunities.
8. Third-Party Services and Data Compliance
8.1 Third-Party Service Providers
Our Service utilizes third-party providers including Amazon Web Services (AWS) for infrastructure and location data, and Stripe for payment processing. Specifically:
- AWS Location Service: Provides location data through HERE Technologies, Esri, and other data providers
- Stripe: Handles all payment processing, billing, and financial data storage
- AWS Infrastructure: Provides cloud hosting, API management, and data storage
By using our Service, you agree to:
- Comply with all applicable AWS Service Terms and third-party data provider terms
- Provide proper attribution to data providers when required by your application type
- Not remove, obscure, or modify any copyright notices or attribution requirements
- Use location data only for permitted purposes under applicable provider terms
8.2 Data Attribution Requirements
When using our Service in applications that display maps or location data to end users, you must provide appropriate attribution as follows:
- Display data provider attributions (HERE, Esri, etc.) as required
- Include copyright notices in a visible location within your application
- Maintain attribution requirements even when caching or processing our data
- Contact us for specific attribution requirements for your use case
8.3 Geographic and Legal Restrictions
You agree that you will not:
- Use the Service in countries or regions where AWS Location Service is prohibited
- Use location data for military, surveillance, or other restricted purposes where prohibited
- Violate export control laws or regulations applicable to location data
- Use the Service in violation of economic sanctions or trade restrictions
8.4 Data Usage Compliance
- You may cache location data according to our caching policies and provider terms
- Bulk downloading or systematic extraction of location data is prohibited
- You must comply with data residency requirements where applicable
- Commercial use is permitted within the scope of these Terms
Updates: Third-party terms may change. You are responsible for staying compliant with current provider requirements. We will notify you of material changes affecting your use of the Service.
9. Service Availability
While we strive for high availability, we do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect service availability.
10. Limitation of Liability
To the maximum extent permitted by law, Chaosity shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
11. International Customers
We welcome customers from around the world. By using our Service, you acknowledge that:
- You are responsible for compliance with your local laws and regulations
- You have the legal authority to enter into these Terms in your jurisdiction
- Currency conversions and international transaction fees may apply
- Service availability and features may vary by region
12. Dispute Resolution
12.1 Preferred Resolution
We encourage resolving disputes through direct communication. Please contact us first at support@chaosity.io to discuss any concerns.
12.2 Binding Arbitration
If direct resolution fails, disputes shall be resolved through binding arbitration. For international customers, arbitration may be conducted online or in a mutually agreed location to minimize costs and inconvenience.
13. Governing Law
These Terms are governed by Australian law. However, we recognize that international customers may have additional rights under their local consumer protection laws, and nothing in these Terms is intended to limit such rights where they cannot be waived.
14. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or through our Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
